Devesa advises Roman on acquisition of Villafañe & Asociados

Devesa Abogados has advised Roman on the acquisition of 100% of the share capital of Villafañe & Asociados Consultores, a leading company in Spain in the definition and mediation of corporate reputation

Roman is a communications consultancy firm that, with more than 30 years of track record and a team of more than 200 consultants in its offices in Barcelona, Madrid and London, focuses its activity on protecting and projecting the reputation of its clients, offering, among others, corporate, financial and brand communication services, as well as reputation, purpose and impact measurement consultancy.  

On the other hand, Villafañe & Asociados Consultores is a benchmark in corporate reputation management through business KPIs, which “introduced this concept in Spain and Latin America to become a benchmark in the measurement, evaluation and comprehensive management of reputation and its main intangibles”, as explained by the acquiring company.  

With the purchase, the Madrid firm is strengthened by the specialisation of the new team. “This union allows us to make a qualitative leap in our service, strengthen our position as a boutique consultancy and consolidate our leadership in comprehensive reputation management services in Spain,” they explain. A team that will be led by Sebastián Cebrián Gil as the new director of Reputation Research & Analytics at Roman, who will join its Management Committee.

Devesa’s role in the operation

Devesa has participated in all phases of the acquisition of Villafañe & Asociados Consultores by Roman, having been the firm in charge of carrying out the legal due diligence and advising the multinational throughout the acquisition and integration process.

The terms of the agreement began to be negotiated at the end of December. As of January 2024, the operation was resumed and was satisfactorily closed on 15 February in Barcelona. Isabel Cano and Juan Antonio Botella, from the Commercial Area, have been involved I this transaction; as well as Guiomar Díaz, lawyer and economist, in the tax and financial support; and Luis Ángel Garrido, senior associate of the Labour Area.

The acquisition of Villafañe & Asociados Consultores by Roman represents a new milestone in the company’s expansion and growth process, and the integration will allow the group’s clients to obtain first class reputational advice in a comprehensive manner.
